Money Saving Card Merchant Terms and Conditions

The following are the terms and conditions under which we agree to promote your business and offer to our discount card holders and those of our partners.

1.1 You are reading a legal document which is the agreement between you, the Merchant (whom we refer to as "you" or “your” in this document) and us. We are Loyalty Card Limited and we are the owner of this website. Loyalty Card Limited, a company incorporated in England and Wales (registration number 07008259) having its registered office at 32 North Street, Keighley, BD21 3SE
1.2 Please read this agreement carefully. By browsing, accessing or using this website or by using any facilities or services made available through it or by transacting through or on it, you are agreeing to the terms and conditions that appear below (all of which are called the "Agreement"). This Agreement is made between you and us.
1.3 These Terms and Conditions were most recently updated on 24 November, 2011. We reserve the right to amend these terms and conditions at any time. All amendments to these terms and conditions will be posted on-line. You may terminate this Agreement by written notice to us (by post or by email at zoe@moneysavingcard.co.uk) if you do not wish to be bound by such new terms and conditions. However, if you do not contact us, you will be deemed to constitute acceptance of the new terms and conditions.
1.4 Your statutory rights: Nothing in this Agreement affects your non-excludable statutory rights.
1.5 In this Licence, a reference to a statute or statutory provision includes a reference to:
(a) that statute or statutory provision as modified, consolidated and/or re-enacted from time to time; and
(b) any subordinate legislation made under that statute or statutory provision.
1.6 The Clause headings do not affect the interpretation of this Licence.
1.7 In the case of conflict or ambiguity between any provision contained in the body of this licence and any provision contained in the appendices or any prior representations between the Licensor and the Licensee, the provision in the body of this licence shall take precedence.
1.8 Words in the singular include the plural and in the plural include the singular.

2. Definintions

2.1 "Merchant" means a third party seller of goods and services for where our card holders can receive discounts their Discount Cards.
2.2“Discount Cards” means co-branded loyalty cards incorporating the Trade Mark for reselling to end users. Each card to be valid for a period of one year from date of issue
2.3 "Register" means adding information about your company to this website
2.4 “Partner” means any company that Loyalty Card Limited has granted a license to in order to print the Money Saving Card logo
2.5  "Website" means moneysavingcard.co.uk and all partner sites

3. Your obligations

3.1 Provide the discounts that you agreed to provide when customers present a card displaying the money saving card logo
3.2 Communicate the offer you agreed to all your staff
3.3 Act promptly if any customer complaints are communicated to them and remedy the issue
3.4 Inform us of any change of address
3.4 Registered offers cannot be time limited and we reserve the right to remove an end date from your offer. You will need to contact us to change or remove an offer.
3.5 You must provide 14 working days notice in order to change and offer or remove an offer from the Money Saving Card listings either in writing or by email to zoe@moneysavingcard.co.uk

4. Indemnity

41 You shall indemnify us against each loss, liability or cost incurred by us arising out of any claims or legal proceedings which are brought or threatened against us by any person arising from:
a) your use of the Service;
b) the use of the Money Saving Card in your business;
c) any breach of this Agreement by you.

5. Governing law and jurisdiction

This licence agreement, its subject matter or its formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with English law and submitted to the non-exclusive jurisdiction of the English courts.
